ACKNOWLEDGEMENT AND RELEASE (the “Release”) PRIOR TO PARTICIPATING IN ANY OF THE EMPIRE CHALLENGE EVENTS, EACH PARTICIPANT MUST AGREE TO THE TERMS OF THIS RELEASE OF LIABILITY AND NAME AND LIKENESS I hereby voluntarily agree as follows, for the good and valuable consideration, of being permitted to participate in the events and activities held in connection with the Empire Challenge – New York (the “Game”) to be held at Sachem North High School, New Utrecht High School and Hofstra’s James M. Shuart Stadium, Hempstead, New York (the “Stadium”) from June 10, 2019 to June 15, 2019 (collectively, “Empire Challenge”), in which Releasor plays, performs, or otherwise participates (including, but not limited to, accessing the practice field, Stadium field, locker rooms and other public and non-public areas of the Stadium, physical activities inherent in and/or ancillary to football and/or the sport of football (i.e., running; kicking, passing, tackling and/or blocking; refereeing or coaching)): 1. RELEASE FROM LIABILITY AND COVENANT NOT TO INSTITUTE LEGAL PROCEEDINGS. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby undertakes and agrees, for himself/herself and his/her personal representatives, executors, liquidators, administrators, heirs, next of kin, successors, agents and assigns, and anyone else who might sue on Releasor’s behalf (collectively, “Releasor Parties”), to release, waive, indemnify, hold harmless and discharge the Boomer Esiason Foundation, each sponsor, promoter and advertiser of Empire Challenge and each of the foregoing entities’ respective parents, subsidiaries, stockholders, partners and other affiliates and related persons or entities, and each officer, director, governor, regent, trustee, employee, volunteer, licensor, licensee, insurer, sponsor, partner, principal, representative and agent of each of the foregoing, and all of the foregoing’s respective successors and assigns (collectively,“Releasees”), from and against any and all liabilities, losses (economic and non-economic), damages, costs, expenses (including, but not limited to, attorneys’ fees and expenses), causes of action, suits and claims of any nature whatsoever (collectively, the “Liabilities”) which Releasor or any other Releasor Party had, now have, or hereafter may have, by reason of any matter directly or indirectly arising out of or connected in any way with the Empire Challenge, including, without limitation, those arising from, whether directly or indirectly, based upon or relating to bodily injury or death to, or damage to or loss of property of Releasor, sustained in connection with Releasor’s participation (as a player or otherwise) in any event, clinic, competition, demonstration, exhibition, practice, game or activity associated with or comprising the Empire Challenge, including, but not limited to, any on-field off field activity (e.g., contest or promotion), the Game, any sponsor on field event, any media on-field, any Member Club on-field event, or travel to or from any Empire Challenge and the grant of rights hereunder (including arising out of or in connection with the Materials). Such release, waiver, indemnification and discharge shall include, but not be limited to, any and all such Liabilities caused in whole or in part by the fault or negligence of any Releasee in connection with such Releasee’s involvement with Empire Challenge. Without limiting the foregoing, Releasor, on behalf of himself/herself and the Releasor Parties, covenants and agrees to waive any claim and not to institute legal proceedings against any Releasees for any of the Liabilities that have been released and discharged herein. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) understands that any equipment provided is being made available to Releasor solely by the sponsor or manufacturer of such equipment, and not any other person (including but not limited to each of Releasees) and that the fit, adjustment, and use of that equipment by Releasor is solely Releasor’s responsibility. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) acknowledges that, in the event of any breach by any of the Releasees or any third party, the damage, if any, caused thereby will not be irreparable or otherwise sufficient to entitle Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) to seek injunctive or other equitable relief, and Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) will be strictly limited to the right, if any, to recover damages in an action at law. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) will have neither the right to rescind or terminate this Release or any of the Releasees’ rights hereunder, nor the right to enjoin the production, exhibition, or other exploitation of my name, voice and likeness or any subsidiary or allied rights with respect thereto. 2. RELEASOR ASSUMES RISK. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby understands that each participant in the Empire Challenge will be engaging in activities that may involve the risk of serious personal injury, illness, permanent disability, dismemberment and death, and that also involves the risk of severe economic and property loss and damage. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby understands that these risks may result from the actions, negligence and failure to act of myself and others (including but not limited to the Releasees, coaches, referees, volunteers and other Empire Challenge participants), my physical condition and/or the condition of any real or personal property, facilities or equipment used during the Empire Challenge. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) also understand that there may be risks involved which are not known to Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian), or any of the Releasees and may not be foreseen or reasonably foreseeable by any of the foregoing entities or persons at this time or at the time of the Empire Challenge and any activities in which Releasor may participate. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby assumes all of the foregoing risks including the risk of any negligence by any of the Empire Challenge participants and/or any of the Releasees, and the risk of injury caused by the condition of any real or personal property, facilities or equipment used during the Empire Challenge, and accept personal responsibility for any injury (including, but not limited to, personal injury, disability, dismemberment and death), illness, damage, loss, claim, liability or expense (including reasonable attorneys’ and professionals’ fees), of any kind or nature, that Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) may suffer arising out of or in connection with the Empire Challenge or my participation in or attendance at the Empire Challenge. Furthermore, Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) agrees that no general or limited partner, shareholder, director, officer, member, beneficiary, trustee, manager, other controlling person, investor, employee, attorney, agent or independent contractor of any of the Releasees (each an “Exculpated Person”) shall be personally liable for any obligation or liability of such party in connection with the Empire Challenge, and all obligations and liabilities of such party in connection with the Empire Challenge are enforceable solely against such party and such party’s assets, and not against any Exculpated Person or the assets of any Exculpated Person. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) further acknowledges that none of the Releasees shall be responsible for any lost, stolen, misplaced or damaged personal items left unattended. 3. TRANSPORTATION. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby understands and agrees that none of Releasees shall be obligated to provide transportation for Releasor to or from any Empire Challenge. The use of any transportation that is provided by Releasees is not a required component of participation in the Empire Challenge and is subject to all releases, assumptions of risk and representations contained herein. Releasees shall not have any responsibility whatsoever for accompanying a Releasor who elects not to utilize any Releasee-provided transportation. PAGE 1 OVER → 4. REPRESENTATIONS. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby acknowledges and declares that Releasor: (i) has no psychiatric, medical and/or physical condition and/or history that would prevent Releasor from participating in the Empire Challenge and/or endanger myself or others at the Empire Challenge ; (ii) has not been instructed by any physician to refrain from participating in the Empire Challenge and (iii) is physically fit and able to Empire Challenge participate in the . Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby agrees that before Releasor participates in the Empire Challenge, Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) will inspect the applicable areas of the Stadium and all equipment to be used in the Empire Challenge. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) will immediately advise the supervisor of the Empire Challenge of any unsafe condition observed and Releasor will refuse to participate in the Empire Challenge until all unsafe conditions observed have been remedied. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) understands and agrees that Releasor must abide by the Empire Challenge policies and rules and the instructions of the Partnership, the Boomer Esiason Foundation and their respective employees, agents and representatives at all times, and that my failure to do so will result in my immediate ejection from the Empire Challenge. 5. MEDICAL TREATMENT. In connection with any injury Releasor may sustain or illness or other medical conditions Releasor may experience during his/her participation in or attendance at the Empire Challenge, Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby authorizes any emergency first aid, medication, medical treatment or surgery deemed necessary by the attending medical personnel if Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) is unable to act on his/her own behalf. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) further authorizes the attending medical personnel to execute on his/her behalf any permission forms, consents or other appropriate documents relating to medical attention and to act on my behalf if Releasor is unable or immediately available to do so. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) further agrees to assume all responsibility for any costs and expenses incurred in such a medical emergency (transportation, hospitalization, x-rays, etc.). Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) understands that the Releasees do not carry or maintain health, medical, or disability insurance coverage for Releasor. Each Releasor is expected and encouraged to obtain his or her own medical or health insurance coverage. 6. RIGHT OF PUBLICITY. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby grants to Releasees and each of their designees the unrestricted, royalty free, irrevocable, non-exclusive, paid-up right and license to (a) take photographs and make audiovisual recordings of Releasor in connection with his/her participation at or in any of the Empire Challenge (“Materials”) and (b) reproduce, copy, publish, display, distribute, perform, translate, adapt, publicly present, communicate to the public by telecommunications, copyright, exhibit, license, modify, edit, create digitized images of, juxtapose, synchronize, broadcast, reuse, derivative works of and otherwise exploit or use and permit to be used such Materials or any part thereof, whether alone or in combination with other materials, in any and all markets in any and all media now known or hereafter devised in perpetuity throughout the universe. In connection with the foregoing, Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby consents and authorizes Releasees to use or authorize the use of the name, image/likeness, photograph (still and moving), picture, voice recording, performance, and/or any other identification of Releasor for any and all purposes, including, without limitation, advertising, publicity, instructional, sales relating thereto or any other purposes in connection with the Empire Challenge or Releasees and their goods, services or other businesses, in any and all media now known or hereafter devised in perpetuity throughout the universe, without compensation, notice or right of prior review or approval (to the extent permitted by law). Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) agrees, for himself/herself and Releasor Parties, to release and discharge each Releasee from, to waive in respect of each Releasee, and not to institute legal proceedings against any Releasee for, any and all Liabilities arising from, based upon or relating to any claim for invasion of privacy, violation of right of publicity, defamation or appropriation, or any similar claim he/she or Releasor Parties may have now or in the future, whether known or unknown, in connection with any such use. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby represents and warrants that Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) has the right to make this Release and that granting this Release and the rights conveyed thereby will not infringe upon the rights of any third party. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) hereby assigns all right, title and interest Releasor may have in any and all media now known or hereafter developed in which any or all of his/her appearance, name, voice and/or likeness have been captured in connection with any of the Empire Challenge to the Releasees, along with full rights of assignability. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) understands and agrees that any photographs and/or video/audio recordings Releasor makes at any of the Empire Challenge shall be used solely for Releasor’s private, non-commercial use, and that absolutely no sale, transmission, distribution or commercial use of any such photographs and video/audio recordings or descriptions shall be permitted. 7. MISCELLANEOUS. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) has had full opportunity to ask any questions regarding the Empire Challenge, has carefully read the entirety of this Release and agrees to all its terms and conditions. Releasor (and if Releasor is younger than 18 years old, his/her parent or legal guardian) agrees that the foregoing terms and conditions are intended to be as broad and inclusive as is permitted by law, and any terms and conditions set forth herein found by a court to be void or unenforceable shall not affect the validity or enforceability of any other terms and conditions. This Release will inure to the benefit of and will be binding upon both Releasor’s and each of the Releasees’ affiliates, successors, licensees, assigns, heirs and representatives. The validity, construction and enforceability of this Release shall be governed by, and construed and interpreted in accordance with the internal laws of the State of New York. The United States District Court for the Eastern District of New York (or if such court does not have jurisdiction, the courts of the State of New York located in Hempstead County) shall have exclusive jurisdiction with respect to all matters and disputes relating to or arising from Releasor’s participation (as a player or otherwise) in the Empire Challenge and/or relating to the Release, and the parties hereto irrevocably submit to such jurisdiction.
